Navigating Volatile Economic Times: The Use and Effectiveness of MAC Clauses in M&A Transactions in the Danish Legal System

Abstract

This thesis examines the impact of economic uncertainty on the M&A market, specifically in the context of the COVID-19 pandemic, energy crisis in Europe, and war in Ukraine which all has occurred over the last three years. We evaluate how economic uncertainties and spikes in the interest rate affect enterprise value, finding that the latter has been significantly reduced. We also analyze the Danish regulatory framework governing share purchase agreements and the use of material adverse change (MAC) clauses to mitigate the buyer's risk.
Our findings suggest that economic uncertainties have a significant impact on the M&A market, leading to a reduction in enterprise value. In response to these uncertainties, the thesis finds that there is a need for buyers to turn towards using MAC clauses to mitigate the risk associated with M&A transactions in an uncertain economic environment. The thesis provides a detailed analysis of the Danish legal systems reach in relation to the buyers withdrawal rights and the use of MAC clauses.
To better understand the impact of economic uncertainty on the M&A market, we evaluate the effect of these uncertainties on enterprise value. Our findings reveal that enterprise value is materially reduced in the face of economic uncertainties. We conclude that the general MAC clause commonly used in Danish share purchase agreements may not be sufficient to adequately address the risks posed by an uncertain economy. We provide guidance on how to draft a more specific and effective MAC clause, taking into account the particular risks and uncertainties facing the buyer in the context of the economic environment.
Our research has important implications for M&A practitioners, demonstrating the need for a more nuanced approach to drafting MAC clauses in the face of an uncertain economy. By providing guidance on how to draft an effective MAC clause, the purpose of this thesis is to help buyers and sellers to e able to more effectively manage the risks associated with M&A transactions in an increasingly uncertain economic environment.
