    Abstract

This paper reviews the key elements of the Nordic governance model, which include a distinct legal system, high governance ratings and low levels of corruption. Other characteristics include concentrated ownership, foundation ownership, semi two-tier board structures, employee representation and low-powered managerial
incentives. The Nordic countries have performed well in recent decades both in terms of economic growth, stock market development and social welfare.
