Time is Money: A Strategic Analysis and Valuation of the Swatch Group

Abstract

This thesis examines whether the Swatch Group should be taken private by its controlling shareholders based on a strategic analysis, financial analysis, and subsequent valuation of the firm’s fair value. The motivation behind the examination is the continued speculation concerning a privatization by the Hayek family, which has intensified after declining performance in 2024 and statements made by the Swatch Group’s CEO, Nick Hayek. The strategic analysis outlines the privatization rationale applied in this thesis and identifies the Swatch Group’s brand heritage & storytelling, and vertical integration as resources providing a sustainable competitive advantage. The Swatch Group’s mass-market segment is expected to gradually decline, driven by shifting consumer preferences and the rise of smartwatches. However, the growth in the Group’s luxury segment is estimated to ensure positive overall growth. This growth in the luxury segment is driven by a recovery of demand in China and significant growth in other emerging markets, especially India. The financial analysis highlights the focus on longevity and the conservative nature of the Swatch Group’s fiscal policy. The insights of the strategic and financial analysis are used as the foundation for the valuation model. The valuation model presented estimates a fair value of the Swatch Group stock of 211.91 CHF. This is 25.02% higher than the market value as of January 31, 2025, concluding that the Swatch Group is undervalued. A multiples valuation and sensitivity analysis ensure the credibility and robustness of the result. By applying the privatization rationale outlined, it is concluded that a privatization of the Swatch Group by the controlling shareholders is justified if minority shareholders accept a premium below the 25.02% premium threshold. Privatization with a premium above the threshold can be justified depending on the value attached to strategic advantages of private ownership, which include manager-principal strategy realignment and improved confidentiality.
