Abstract
The paper aims to answer the main research question: “How has the increasing influence of the Big Four (BlackRock, Vanguard, Fidelity, & State Street) impacted the corporate governance and competitive dynamics of the Swedish large-cap market?"
This is investigated through a comprehensive mixed-method approach that blends quantitative analysis of ownership data with qualitative interviews from experts in the Swedish business landscape, this study explores the integration and impacts of these large investors within Sweden's unique business environment. The research delves into how the substantial investments and passive strategies of the Big Four intersect with the active, long-term focus that characterizes Swedish corporate governance. The findings reveal that while the financial influx from these investors is beneficial, it poses challenges to the traditional Swedish governance model. The influence of global proxy advisors and the passive investment approach of the Big Four risk diluting the engaged and proactive governance culture essential to Sweden's corporate success.
Furthermore, the study examines the potential anti-competitive effects of the Big Four's common ownership in concentrated markets. Although current data do not indicate that their horizontal shareholdings exceed thresholds typically associated with reduced competition, the potential for future market impacts necessitates regulatory awareness.
Consequently, this thesis recommends that the Big Four assume more active roles in corporate governance, such as participating in nomination committees and board engagements. It also suggests enhancing regulatory oversight, improving dialogues between Swedish companies and proxy advisors, and establishing continuous monitoring of these investors' market behaviors. These measures aim to preserve the integrity of Sweden’s market while accommodating the growing influence of global institutional investors, ensuring that governance adaptations reflect local needs and maintain competitive market dynamics.
