The purpose of this thesis is to discuss whether the revised IFRS 3 (2008) compared to IFRS 3 (2004) is appropriate for Danish enterprises. The positions stated in the comment letters on IFRS 3 have been compared with the interviews made in order to conc1ude whether the positions taken in Denmark and in Europe coincide. We have been able to demonstrate a tendency towards coinciding positions in the majority of the cases looked into. We have also been able to identify coinciding positions within strata for a number of the issues that we examined. Based on empirical examinations, we conc1ude that it is relevant to discuss business combinations from a Danish perspective. The e~aminations inc1ude annual reports of C20 constituents, and 46 % of such reports for the past three years inc1ude one or more business combinations. On average, business combination transactions amount to DKK 45bn for the past three years. Based on the conc1usions made earlier in the thesis, this theory is applied to a practical example based on the annual report of the Carlsberg Group. The analysis of the consequences of preparing financial statements under IFRS 3 (2008) instead ofIFRS 3 (2004) shows a significant influence on key figures. The analysis has been made within the categories profitability, cash position and financial position. This thesis conc1udes that IASB should issue an additional IFRS 3, the revision ofwhich in relation to IFRS 3 (2008) should inc1ude at least the foHowing changes as recommended by us: • Reduction of the grey zone between the definition of an enterprise versus acquisition of an asset • Elimination ofthe option to apply either the acquisition method or the fuH goodwill method • Inc1usion oftransaction costs in the acquisition price. • Disc10sure modification oftransaction costs The major chaHenge to IASB is to define where to effect recognition of income and costs relating to business combinations in the income statement. Our recommendations are based on the knowledge acquired when preparing this thesis, and we believe that it would be more appropriate to recognise the adjustments under EBIT as the influence on operating key figures would thus be reduced.
